Responsibilities

The role will be primarily responsible for maintaining the organization’s corporate filings, licensing, registrations, and related matters, as well as maintaining the contract repository and supporting the attorneys with contract interpretation and drafting as needed. The Corporate Paralegal must possess strong time management and written and verbal communication skills; be self-motivated, highly organized, able to maintain files with updated and accurate information, manage a wide variety of concurrent tasks, meet deadlines, effectively communicate with a diverse array of people both inside and outside the organization and have the ability to “think outside the box.”

 

  • Corporate Governance Support corporate governance efforts, including entity management changes, annual filings, request for apostilled documents and maintenance of corporate tracker.
  • Contract Management: Serve as the primary point person for contract management. Save/maintain copies of all contracts and upload to the contract management software. Review and approve submissions for the CMS software from other departments.
  • Document Management: Assist in the drafting, formatting, proofreading and editing of legal documents, contracts, correspondence and other materials as required.
  • IP and License ManagementMaintain IP tracker, manage renewals and new applications for various business licenses, and collaborate with attorneys and outside counsel as needed.
  • Reporting/Diligence: Assist with completing and gathering necessary information in connection with miscellaneous requests from local regulatory authorities or in connection with other corporate matters.
  • Continuous Improvement: Identify opportunities for process improvements and implement best practices to enhance the efficiency and effectiveness of administrative processes within the legal department.
  • Administrative Duties:
    • Assist with submission and tracking of various invoices.
    • Assist in the coordination and management of various legal projects

Qualifications

  • Bachelors degree or equivalent experience (Legal, Business Administration, and/or related field).
  • 3-5 years of Paralegal or Legal Assistant experience.
  • Paralegal certificate (preferred but not required for candidates with relevant experience).
  • Florida Licensed Notary a plus.
  • Bilingual (English and Spanish) (Highly Preferred).
  • Previous experience working for in house corporate legal department as a legal assistant or paralegal.
  • Highly Analytical with exemplary organizational skills and attention to detail.
  • Knowledge/Skills/Abilities: Microsoft 365 (e.g., SharePoint, Teams), Office Suite (e.g., PowerPoint, Word, Excel).  Experience with contract management software (CMS) a plus.
  • A positive, dynamic, business-focused approach with strong personal integrity and a values-based approach to decision making.
  • Excellent written and verbal communication skills, including presentation skills and the ability to communicate and influence at all levels within the organization.
  • Highly collaborative individual with ability to influence others and build strong professional relationships, including with business leaders and legal team, as well as external partners.
  • Be a pragmatic, high-energy professional, with personal and professional self-confidence.
  • Detail-oriented with the ability to independently prioritize work and handle multiple tasks with set deadlines as a top priority.
  • A high level of integrity, discretion, and professionalism in handling highly confidential and sensitive matters.
  • Able to complete a high volume of tasks and projects quickly with little guidance and react with appropriate urgency to situations and events that require a quick response or turnaround in a fast-paced environment.
  • Flexibility to adapt to changing priorities and work independently with minimal supervision.
  • Travel up to 10 of the time.
  • Exerts up to 10 lbs. of force occasionally and/or a negligible amount of force frequently or constantly to lift, carry, push, pull, or otherwise move objects, including the human body. involves sitting most of the time but may involve walking or standing for brief periods of time.
  • Must be present at the worksite 100 of the time.
